These terms describe the scope, standards, and responsibility boundaries when 炬开发 (玉林市玉州区巨凯发网络技术工作室, hereinafter referred to as "we") delivers a website to foreign trade independent site clients. The project duration, quotation, and payment milestones for specific projects are subject to the mutually confirmed "Website Construction Plan and Quotation"; if these terms conflict with the quotation, the quotation shall prevail.

1. What is Included in the Deliverables

  • Deployable site program: compiled program files and deployment configurations, ready to run out of the box, no additional compilation environment required.
  • Domain usage authorization: authorization for you to use the domain specified in the contract.
  • Backend management account: the super administrator account belongs to you, and you can create sub-accounts and assign permissions yourself.
  • All business data: content, products, orders, and customer inquiries are all in your database and can be fully exported at any time.
  • Delivery documentation and training: one backend operation manual and one remote training session (duration as agreed in the quotation).
  • Basic indexing configuration: sitemap, structured data, multilingual interlinking; after delivery, assist with verification and submission to Baidu and Bing Webmaster Tools.

2. What is Not Included in the Deliverables

To avoid disputes about "what exactly was purchased," the following are clarified upfront:

  • No readable source code. We deliver deployable program files; the site belongs to you, but the code is not open source.
  • No secondary development. If you need to change functions, layouts, or add modules (equivalent to secondary development), we will evaluate the workload and provide a separate quotation and schedule.
  • No third-party fees. Server, domain, SSL certificate, SMS and email services, payment gateway fees, etc. are borne by you; you can provide them yourself or entrust us to purchase them on your behalf (fees settled based on actual costs).
  • No ranking or traffic commitment. Rankings are determined by search engine algorithms; any promises such as "guaranteed first page" or "guaranteed traffic" do not conform to actual rules, and we do not make them.

3. Project Duration

  • Standard corporate website: 7 to 15 business days to go live.
  • With multilingual and e-commerce modules: approximately 15 to 25 business days.

The project duration starts from the date when materials and requirements are confirmed and complete. The following situations will extend the project duration: materials (logo, product images, company information) not provided promptly, mid-project requirement changes, and waiting periods for third-party integration (payment gateway, logistics interface) review. In case of extension, we will explain the reasons and expected impact in advance.

4. Pricing and Quotation

  • Corporate website type is charged based on the number of pages and languages; e-commerce type adds payment and order modules on top of that.
  • After submitting requirements, a detailed quotation will be provided within 1 business day, with cost breakdown itemized, no hidden fees.
  • After the quotation is confirmed, no price increases mid-project. If you add scope after work begins, it is considered a change, and a separate quotation will be provided and executed after confirmation.

5. Acceptance and Revisions

  • Phased visibility: a remote preview address is provided during development, and you can check progress at any time.
  • Pre-launch confirmation: the site will go live only after the local version is confirmed without objection; if a rollback is needed after launch, we retain the previous usable version.
  • Revision rounds: no additional charge within the visual and prototype revision rounds agreed in the quotation. Exceeding the rounds, or requesting structural adjustments after launch, will be handled as changes.
  • Acceptance criteria: acceptance is based on the page list, number of languages, and functional items specified in the quotation; expectations beyond the list are not considered acceptance requirements.

6. Payment

Website construction services are paid in stages based on the project, linking payments to delivery milestones—this protects you and serves as the basis for our scheduling and investment. The method used on this site is:

  • 40% upon signing: for requirements analysis, site structure, and prototype design. The development period starts from the day after the first payment is received.
  • 40% after prototype and structure confirmation: visual style and column structure are finalized, entering the content filling and development, e-commerce and payment configuration stage.
  • 20% after local version confirmation without objection and before official launch: we provide a remote preview address for your acceptance; after confirmation, pay the final payment, and we will immediately arrange official launch, submit for indexing, and deliver the backend operation manual and one remote training session.

The rationale for this arrangement: the first two payments correspond to results you can already see (prototype, structure), and the final payment corresponds to the finished product you have already accepted—you don't have to pay before seeing anything, and we don't have to chase payment after delivery.

For larger projects (multilingual site clusters, including e-commerce and ERP integration, etc.), payments can be split into more milestones, as separately agreed in the quotation. If payment is overdue, the project will be suspended, and labor hours incurred and delivered parts will not be refunded. The payment method is subject to the quotation.

7. Intellectual Property and Authorization

  • The programs, templates, and design specifications required for the site operation are provided by us, and you obtain a long-term authorization to use them on the agreed domain.
  • The brand materials, product information, copy, and images you provide remain your property; you must ensure you have the right to use these materials.
  • Content and data you generate in the backend after the site goes live belong entirely to you.
  • Without the written consent of both parties, neither party may use the other party's non-public materials for purposes other than this project.

8. Responsibilities of Both Parties

Our responsibilities: deliver according to the confirmed scope and project duration; complete basic content and indexing configuration before delivery; be responsible for the usability of the deliverables at the time of delivery.

Your responsibilities: provide materials and confirmations promptly; ensure the legality of business content and submitted materials (including industry qualifications and advertising compliance); properly safeguard backend accounts; complete filing as required by local regulations.

9. Changes and Termination

  • Either party may propose changes; changes take effect after written confirmation by both parties and may affect project duration and costs.
  • If the project is suspended for more than the agreed period due to your reasons, labor hours incurred and delivered parts will not be refunded.
  • After the project is accepted, the provisions of these terms regarding intellectual property, limitation of liability, and data ownership shall remain in effect.

10. Updates to These Terms

These terms may be updated as business adjusts; the update date at the top of this page will be revised accordingly. The rights and obligations of signed projects are subject to the version at the time of signing.
